As regards the ownership structure, the Ministry of the Economy and Finance (MEF) owns 100% of Poste Italiane.
Shareholders' Meetings are held regularly to resolve upon matters that are legally reserved for examination thereby.

The governance model adopted by Poste Italiane can be defined as "traditional", with the classic division of powers between the Board of Directors and the Board of Auditors; the activity of reviewing the accounts is entrusted to an external auditing firm e subject to checks by the Court of Auditors on the management of financial statements and assets.

The Board of Directors - made up of 5 members - is convened on a monthly basis to review issues and resolve upon management performance, results achieved, proposals concerning the organisational model, and operations of strategic importance.

The Board of Auditors is made up of 3 statutory members, appointed by the Shareholders' Meeting. It sees to compliance with the Law and the Corporate By-Laws, observance of the principles of proper administration and in particular the adequacy of the organisational, administrative and accounting system adopted by the Company and its effective functioning.
